MatwingsVenus^® Auto-Renewal Service Agreement

Article 1: Definitions and service description

1.1 Auto-renewal service ("this Service"): You irrevocably authorize MatwingsVenus^®, as your current membership period nears expiry, to automatically deduct the next period's membership fee from your platform wallet ("Wallet") or your bound payment method.

1.2 Eligibility: This Service applies to users who have opened a wallet or bound a valid payment method and have successfully purchased a paid membership (monthly, yearly, etc.). By enabling this Service you confirm you fully understand its rules and voluntarily accept all terms of this Agreement.

1.3 Charge window: MatwingsVenus^® initiates the automatic charge 24–48 hours before each membership period ends; the exact time follows system execution.

1.4 Charge amount: Each renewal charges the next period's fee for your current membership at the rate published on the purchase page at that time. First-period promotional prices may differ from renewal prices—read the prompts before enabling. The platform may adjust renewal prices; changes are announced prominently in advance and take effect after the notice period. If you disagree with a changed price, disable auto-renewal before the period ends; leaving it enabled constitutes acceptance at the new price.

Article 2: Authorization and charging

2.1 Authorization: Enabling this Service irrevocably authorizes MatwingsVenus^® to charge the next period's fee from your Wallet or bound payment method before each period ends, effective from enabling until the Service stops under Article 3. You confirm this authorization reflects your true intent, waive any claim that it is invalid or revocable, and waive objections or claims over charges made under it.

2.2 Order and channels: This Service charges your Wallet balance and also supports bound third-party payment methods (WeChat, Alipay, international credit cards, etc.). With held or locked funds in the Wallet, actually available balance governs. The system charges your default payment method or Wallet balance first.

2.3 Charge results: On success, membership extends one period; on failure, the system retries, provides a grace period, and notifies you via in-site message or SMS. Success within the grace period extends membership automatically; otherwise Article 3 applies. You may check results in the membership center and top up or update payment methods; the platform sends status reminders via SMS/in-site message, but delivery may be affected by third parties—you remain responsible for monitoring your account.

Article 3: Termination of auto-renewal

3.1 Failed charges and grace period: If the Wallet balance is insufficient or the bound payment fails at charge time, the platform retries and notifies you. During the grace period membership continues; if charging still fails when it ends, this Service suspends and membership terminates naturally at period end without further renewal. To continue, top up, update your payment method, and resubscribe manually—the system does not automatically detect balance and restore subscriptions. You confirm the platform bears no liability for suspension or termination caused by failed charges; monitor your balance, payment method, and membership status yourself.

3.2 User cancellation: Cancel anytime via Membership center → Auto-renewal management. Cancellation takes effect from the next renewal period; paid benefits for the current period remain unaffected until it ends. The platform may adjust the cancellation path and will publish any change prominently—follow the latest method; the platform bears no liability for cancellations that fail because an outdated method was used.

3.3 Account anomalies: If your Wallet is frozen, your account is closed, your plan has expired and cleared, or your account is restricted, in violation, or banned, this Service ends simultaneously. The platform notifies via in-site message after the status change; monitor your account.

3.4 Platform termination: MatwingsVenus^® may terminate this Service for all or some users with 30 days' notice by announcement or in-site message; membership then ends at period expiry. Where laws, regulations, or force majeure require earlier termination, the notice period may be shortened or replaced by a post-termination announcement, without liability for breach.

Article 4: Fee changes

When adjusting membership rates, MatwingsVenus^® gives at least 7 days' notice on the platform or via your registered contact. Adjusted rates apply from the next renewal period. If you disagree, cancel before the charge; continued use or failure to cancel constitutes acceptance.

Article 5: Notices

After each successful or failed charge, MatwingsVenus^® notifies you via in-site message or your registered contact. You remain responsible for monitoring balance and charge status. The platform endeavors to deliver notices but is not liable for losses arising from third-party communication failures, incorrect registered details, or unread notices.

Article 6: Relationship to other agreements

This Agreement supplements the MatwingsVenus^® Terms of Service and the Standard Membership Subscription and Refund Rules. Matters not covered here (including but not limited to disclaimers, liability caps, dispute resolution, amendment, and contact information) follow the Terms of Service.

Article 7: Enterprise and organization subscriptions

For enterprise or organization subscriptions, administrators manage subscription plans, auto-renewal settings, and member quotas centrally in the admin console. Administrators may assign or adjust quotas for members and handle auto-renewal and payments uniformly. Administrator actions on auto-renewal and quotas are treated as authorized by the enterprise or organization, which bears the resulting charges and benefit changes.

Article 8: Effectiveness

This Agreement takes effect when you click Agree or Enable auto-renewal. You confirm that before clicking, the platform prominently presented and explained the clauses materially affecting you (including charging rules, fee changes, service termination, and rights and obligations), that you have read and fully understood all terms, and that you voluntarily accept them. The platform retains your check and click records as valid proof of consent; your confirmation constitutes acceptance of this Agreement and related agreements in full.
