MatwingsVenus® Standard Membership Subscription and Refund Rules

These rules are a supplementary billing agreement to the MatwingsVenus® Terms of Service. Before selecting Agree and pay—and before activating, renewing, or upgrading a standard membership subscription—read and understand them carefully. Pay particular attention to the clauses on credit clearing at membership expiry, instant pro-rata upgrade settlement, and the dual-anchored lower-value refund formula, which concern your core rights.

Article 1: Membership expiry and renewal basics

1.1 Benefit period: Standard membership benefits run in calendar months (fixed 30-day cycles).

1.2 Annual membership (12 months): Annual subscriptions run 12 consecutive months (by actual calendar days), as the long-term tier of standard membership; benefits, credit grants, expiry clearing, upgrades, and refunds all follow these rules uniformly.

1.3 Expiry clearing: When a plan expires without prior renewal, the membership's benefits and the remaining plan credits in the account expire automatically and clear to zero.

1.4 Renewal restarts everything: After expiry and clearing, a new subscription restarts full benefits and the plan's initial standard credits from scratch; credits voided and cleared in earlier periods are not restored, accumulated, or credited.

1.5 Auto-renewal and failed charges: With auto-renewal enabled, the system attempts the charge before expiry. On failure it sends retry reminders and grants a grace period; if renewal still fails within the grace period, membership is downgraded or suspended until renewal succeeds.

Article 2: Upgrade settlement

2.1 Instant effect: After a plan upgrade and successful online payment of the difference, the new plan's access rights and compute quota take effect immediately. The upgrade day becomes day 1 of a brand-new 30-day membership cycle.

2.2 Old-plan difference refund: On upgrade, unconsumed time benefits of the old plan convert to a refund by unused days. The system computes the difference from the old plan's monthly fee and days used; the actual payment page governs.

2.3 Credit settlement on upgrade: On completion, available compute credits settle seamlessly across old and new plan bases and the existing balance. The final credits are system-computed and shown by what actually arrives in the account.

2.4 Bonus credits from promotions: Bonus credits earned in top-up activities are handled per the activity rules during upgrades so that your bonus assets are reasonably preserved; settlement details follow the system's actual settlement.

Settlement example: With bonus credits from a first top-up, a later upgrade automatically computes the credit difference between plans while preserving the unconsumed first-top-up bonus; final available credits follow the system settlement.

2.5 Downgrade: Downgrading to a lower plan takes effect after the current cycle ends (or at the time the system indicates). Higher-tier features are disabled or quotas reduced; remaining benefits and credits convert or are retained under the new plan per the settlement page.

Article 3: Standard membership refund settlement (dual-anchored lower-value principle)

3.1 Manual review: To protect account assets and guard against cash-out arbitrage and malicious resale of compute, all mid-term cancellations and refund requests go to official support for manual compliance reconciliation. The platform controls review pacing per compliance needs, with no obligation of forced compensation or fixed refund deadlines.

3.2 Dual-anchored lower-value principle: Because the platform's AI compute is instantly and physically consumed at high energy and GPU load, to prevent burning credits quickly and then demanding a full refund, the refundable amount is anchored to both the remaining benefit-days ratio and the remaining available-credits ratio, strictly taking the lower of the two.

3.3 Settlement formula:

Final refundable = total paid for the plan × Min(remaining days ratio, remaining available credits ratio)

Expanded:

Final refundable = total paid × Min( (30 − days used) ÷ 30 , current available credits ÷ plan initial standard credits )

Note: partial days count as one day. If the formula yields zero or less, the plan's core resource value is deemed substantively consumed and no refund is due.

3.4 Cancellation and benefit retention: After you cancel auto-renewal or the subscription, paid benefits for the current period remain valid until the current period ends.

3.5 Assets held during review: During refund review and processing, related quotas or credits may be temporarily frozen, then released or deducted per the final settlement.

Article 4: Worked scenarios for the lower-value principle

Illustrative virtual plan: 300 CNY/month, 30 days of benefits, 30,000 initial standard credits (10 CNY/day time value, 0.01 CNY per credit).

Scenario Remaining days Remaining credits Settlement and final refund
1: Heavy resource burn early 90% (refund requested on day 3) 10% (27,000 credits burned in a burst; 3,000 left) Lower of the two (10%) applies. Refund = 300 × 10% = 30 CNY.
2: Light trial usage 50% (refund requested on day 15) 80% (6,000 credits used in half a month; 24,000 left) Lower of the two (50%) applies. Refund = 300 × 50% = 150 CNY.

Article 5: Linked settlement of stacked credit packs (boost packs)

5.1 Linked ownership: As credits are not sold separately to non-members, stacked packs are attached assets on top of membership. When you voluntarily cancel the base plan, unconsumed packs settle under the linked rules—or may be retained and refunded separately per other rules—following system prompts. Only a permanent platform shutdown supports standalone refunds; all user-initiated cancellations follow the linked or separate handling above.

5.2 Independent pack formula: Pack refunds do not depend on days; they settle strictly by the remaining credit ratio:

Pack refund = total paid for the pack × ( pack's current remaining credits ÷ pack's initial granted credits )

5.3 Combined payout: After support's manual audit passes, the total refund equals [base plan refundable] + [stacked pack independent refund], returned via the original payment channel or to your platform wallet.

Article 6: Miscellaneous

6.1 Effectiveness: These rules take full effect upon publication, your online acceptance, or your first subscription/upgrade, and bind all active users who newly subscribe, renew, or upgrade.

6.2 Adjustment rights: The platform may reasonably adjust settlement ratios based on GPU cost changes, data-center bandwidth leasing, and operating strategy. Adjustments are announced in advance via notices, in-site messages, or system pop-ups. Continued use constitutes acceptance; objections may be raised with support or by terminating the service.

6.3 Enterprise subscriptions: These rules mainly govern personal standard memberships. Enterprise or organization subscriptions may follow different billing, quota, and refund rules—see the enterprise-specific rules or your administrator.
