MatwingsVenus® Terms of Service

Preamble

Thank you for choosing MatwingsVenus®.

Before accessing the MatwingsVenus® website or using MatwingsVenus® products or services (collectively, the "Services") in any way, you must read and fully understand these MatwingsVenus® user terms (the "user agreement" or "this Agreement"), then choose to accept or decline it. If any word or clause is unclear, consult MatwingsVenus® support immediately. You understand and agree that the right to interpret this Agreement belongs to MatwingsVenus®, that formal written replies from support govern any question, and that verbal explanations carry no legal effect.

By completing "Agree to the user agreement" or otherwise using the Services, you confirm you have read, understood, and accepted its terms. If you disagree with any provision, do not proceed with registration or sign-in and do not use the Services.

MatwingsVenus® reminds you again to read every clause carefully, paying special attention to provisions that limit or exempt MatwingsVenus®'s liability or restrict your rights. Upon acceptance, this Agreement takes legal effect between you and MatwingsVenus® as a binding legal document. You expressly confirm that these limiting provisions were brought to your attention in a reasonable manner and that you fully understand and voluntarily accept them.

You represent to MatwingsVenus® that you have the legal capacity to conclude contracts under the laws of the People's Republic of China (for example, you are at least 18 years old); otherwise, do not use the Services. If you conclude this Agreement on behalf of an organization, you represent that you are duly authorized to bind it.

If you are located outside mainland China (including Hong Kong SAR, Macao SAR, and Taiwan region), you must also comply with the laws of your country or region in concluding or performing this Agreement.

Scope and definitions

1.1 Scope

These User Terms of Service (the "Terms") are concluded between you (the "user") and the MatwingsVenus® platform ("MatwingsVenus®", "we", or the "platform") for your use of the products, services, software, and related functions MatwingsVenus® provides. Registering, signing in, or otherwise using the Services means accepting these Terms and their updates. Terms and updates take effect upon publication; continued use constitutes acceptance of all contents without objection.

1.2 Components

These Terms, together with the privacy policy, billing rules, usage standards, community rules, and other supplementary agreements, form the complete agreement. Supplementary agreements are published from time to time and announced by notice or in-site message; continued use constitutes acceptance and a valid contract with us. In case of conflict, the latest supplementary agreement governs; the platform holds final authority over interpretation and revision.

1.3 Definitions

Services means the online platform, websites, APIs, SDKs, models, datasets, tools, documentation, and related technical and community services provided by MatwingsVenus®.

Output content means text, models, reports, data, or other results generated or exported through the Services.

Service content and license

2.1 Service description

MatwingsVenus® provides model training and inference, data management, AI agents, development tools, API access, documentation, and community support. The platform may adjust services as business and technology evolve; users understand and agree the platform bears no additional liability for such adjustments.

2.2 License to use

Subject to your compliance, MatwingsVenus® grants you a non-transferable, non-exclusive, revocable license to access and use the Services within scope, limited to your personal or authorized organizational use. The license transfers no intellectual property. Without written permission you may not resell, sublicense, or use the Services for purposes competing with MatwingsVenus®, nor copy, modify, reverse engineer, decompile, or disassemble the Services or their components, or use them unlawfully or contrary to these Terms.

2.3 Service changes and interruptions

MatwingsVenus® may adjust, suspend, or terminate any part of the Services at any time. During maintenance, upgrades, third-party changes, or force majeure, the platform may interrupt services and use reasonable efforts to restore them, bearing no additional compensation beyond what law allows. The platform is not liable for interruptions or data loss caused by user mishandling, network failures, third-party outages, or other causes beyond its control; users understand the platform provides no data backup service and should back up their own data.

Account registration and security

3.1 Registration obligations

Users must provide true, accurate, and complete registration information and keep it current, and are responsible for its truthfulness. False or outdated information entitles the platform to suspend or terminate services without liability for resulting losses.

3.2 Account security

Users must safeguard accounts, passwords, and credentials and are responsible for all activity under their account. On discovery of misuse or security risks, notify the platform immediately and cooperate in handling. The platform is not liable for losses from account theft unless caused by its intentional or gross fault; users should adopt their own security measures (regular password changes, two-factor authentication).

3.3 Account use restrictions

One account corresponds to one legal entity; without written consent, users may not transfer, rent, lend, or authorize others to use accounts. With reasonable grounds to believe an account is abnormal or in violation, the platform may suspend or terminate it and require re-verification. Activity under the account is presumed to be yours. The platform bears no liability for losses from abnormal use; violations of these restrictions allow permanent bans without refund.

3.4 Actual account use

The actual user of an account is presumed duly authorized. MatwingsVenus® may (but need not) examine account users; where it reasonably judges (e.g., from IP addresses or clearly abnormal operations) the user is unauthorized, it may contact necessary related parties (whether or not prior measures were taken); technical information is provided on the premise that the actual user is duly authorized.

3.5 Account and password

Keep your account and password confidential; MatwingsVenus® never proactively asks for your password. If your password is forgotten, stolen, or tampered with, or your account is used without authorization, change the password immediately or ask MatwingsVenus® to freeze the account; MatwingsVenus® will act within a reasonable time. MatwingsVenus® bears no liability for legal consequences of account theft, password leakage, and related losses caused by poor safekeeping, trusting third parties, device vulnerabilities, or other non-platform causes. Use complex passwords and update them regularly to help keep your account safe.

3.6 Account freezing

Under other agreements you conclude with MatwingsVenus®, or where you violate this user agreement, platform rules, or laws, regulations, or policies, MatwingsVenus® may—without prior notice and to perform legal duties or contain losses—freeze your account. You bear the consequences of unavailability caused by freezing; MatwingsVenus® provides no extension or compensation.

3.7 Account cancellation and deletion

After cancellation or deletion, an account cannot sign in; data under it may be immediately deleted, anonymized, or otherwise handled in ways law does not prohibit, without further notice. MatwingsVenus® has no additional duty to retain or return such data. Back up important data before cancelling; the platform bears no liability for losses from deletion.

3.8 Account appeals

When applying for restoration, you must truthfully provide supporting proof, material, and information. MatwingsVenus® may decide whether to restore the account and bears no liability. The platform holds final review over the authenticity and legality of appeal material; false material or unproven ownership leads to rejection. The account remains frozen during the appeal, and the platform bears no liability for this.

User obligations and prohibited conduct

4.1 Compliance commitment

Users commit to complying with applicable laws, industry norms, and platform rules, and to using accounts and services properly and in good faith. Violation entitles the platform to immediately suspend or terminate services without refund; users bear all legal liability and compensate the platform's losses.

4.2 Server-side security

MatwingsVenus® is responsible for the security of its own servers; you are responsible for your client-side security and the corresponding network transmission and application security.

Where our products or services involve AI-generated content, you understand they may rely on other models and services, and you agree to use them lawfully with scientific rationality. AI-generated content does not represent the platform's views; the platform makes no warranty of accuracy, legality, or suitability, and users are responsible for their use of AI outputs and the consequences.

4.4 Examples of prohibited conduct

  • Publishing or disseminating content endangering national security, inciting violence, hatred, or terrorism;

  • Disseminating obscene, fraudulent, gambling-related, or other illegal information;

  • Collecting, using, or disclosing others' personal information without authorization;

  • Attacking, intruding into, abusing systems, or spreading malicious code through the Services;

  • Reverse engineering, decompiling, cracking, or copying platform software and functions;

  • Using the Services for biosafety risks, dangerous purposes, or activities endangering public safety;

  • Transferring, reselling, renting, sharing, lending, gifting, publicly sharing, or time-sharing accounts to third parties, or enabling others to use account credentials, without written permission;

  • Running or installing plug-ins, cheats, systems, or third-party tools on MatwingsVenus® products, services, or networks that interfere with, disrupt, or modify normal operation;

  • Using technical means to break through access, query, browsing, or download limits on content, or causing excessive access, repeated data requests, or interference with normal operation or other users;

  • Using outputs to develop products or services competing with MatwingsVenus®, without written permission.

4.5 Enforcement

MatwingsVenus® may respond to violations with warnings, feature restrictions, content deletion, suspension or termination, public disclosure of violations, legal action, and claims for full compensation of losses.

Content management and intellectual property

5.1 Platform rights

Using the Services grants no intellectual property rights in content you access, unless you own it, are licensed by the owner, or are otherwise licensed by law. Unless otherwise agreed, MatwingsVenus® or its licensors retain all intellectual property (copyright, trademark, and related protections) in platform software, interfaces, documentation, trademarks, models, algorithms, and the like. Platform-designed products and their commercialization rights belong to the platform. Without authorization you may not copy, adapt, sell, or rent any part of the Services or use it commercially, nor reverse engineer or attempt to extract source code, algorithms, or other technical information or trade secrets.

5.2 User uploads and generated content

Users warrant they hold lawful rights or necessary authorization for uploaded material or material used to generate outputs, and bear full legal responsibility for uploads. Where content infringement triggers third-party claims, users bear full responsibility and compensate MatwingsVenus® for all losses.

5.3 Platform use license

To improve services and models, users knowingly grant MatwingsVenus® a worldwide, non-exclusive, royalty-free, sublicensable, perpetual license to store, analyze, adapt, display, research, and train models with data and outputs users provide or generate; MatwingsVenus® will apply necessary de-identification or anonymization as law requires.

5.4 Citation and attribution

When publicly using or presenting outputs, users should credit the source per the citation format or statement MatwingsVenus® provides (if any).

Products, features, interfaces, models, templates, tools, algorithms, workflows, documentation, visual designs, and other results designed, developed, or generated specifically to perform this Agreement (collectively, "platform-designed products")—all intellectual property and commercialization rights within this collaboration project belong to the user. The platform's underlying technology, common components, standard templates, base algorithms, and pre-existing systems remain the platform's property, with no transfer under this Agreement. Without written consent, users may not transfer platform-designed products beyond this project or license them to third parties. Moral rights belong to the actual creators.

Privacy and data use

6.1 Privacy policy MatwingsVenus® collects, stores, uses, and protects personal information per its privacy policy; users should read and accept it before use.

6.2 Data use scope

Users knowingly agree that MatwingsVenus® commits not to use user data for training the Matwings agent. Users hold the rights to download and delete their data.

6.3 Third-party services

The platform may integrate third-party services or tools; users must follow third-party terms when using related functions. Users use third-party services at their own discretion; MatwingsVenus® bears no joint liability for third-party conduct.

6.4 Disclaimers

MatwingsVenus® applies its professional skill to provide data that is as accurate, complete, and effective as possible, but makes no promise or warranty of accuracy, completeness, effectiveness, or timeliness. Do not rely on MatwingsVenus® data as the sole basis for major business or academic decisions; the platform bears no liability for decisions made in reliance on the data—judge and verify accuracy and suitability independently.

6.5 Data sources

Where MatwingsVenus® data is of great value or significance to you, obtain and verify it through public channels or directly from official sources; any inconsistency with public information does not indicate the platform's disapproval of that public information. Choose which sources to trust prudently; the platform bears no liability for your choice.

6.6 Use outside mainland China

If you are a natural person, legal person, or organization outside mainland China, note that due to laws, regulations, policies, and data-licensor terms, MatwingsVenus® does not promise to provide all data at all times; the platform bears no liability for limited functions, incomplete results, or delays this causes.

Disclaimers and limitation of liability

7.1 Services provided as-is

MatwingsVenus® strives to keep the Services available and secure but makes no express or implied warranty of suitability, accuracy, continuity, or error-freeness, to the extent law allows.

7.2 Nature of outputs

Generated outputs are for reference only and may contain deviations or errors. Verify outputs with your own judgment or professional advice; do not treat them as the sole decision basis or professional advice.

7.3 Liability cap

To the maximum extent permitted by law, MatwingsVenus®'s aggregate liability for direct or indirect losses from using or being unable to use the Services does not exceed the total fees you actually paid in the twelve months before the claim; if none, liability is the minimum allowed by law. Mandatory legal provisions excepted.

7.4 Bearing of losses

You bear any third-party claims arising from your use of the Services, violation of this Agreement, or acts under your account. If MatwingsVenus® and/or its affiliates, employees, or partners are thus claimed against, you handle it and compensate all losses (including damages, litigation fees, attorney fees, notarization fees, travel, and other enforcement costs).

7.5 Excluded damages

To the extent law permits, MatwingsVenus® is not liable for indirect, punitive, special, incidental, consequential, or derivative losses related to or arising from this Agreement, whether or not advised of the possibility, nor for your unlawful or breaching acts using the Services.

7.6 Breach remedies

Breaching the user-obligation or prohibited-conduct clauses constitutes material breach; MatwingsVenus® may pursue one or more of: (i) terminating cooperation; (ii) no refund of fees paid; (iii) compensation of losses; (iv) closing or disabling the account; (v) terminating the right to use products or services.

Changes, termination, and data retention

8.1 Service change notices

Material changes to services or terms are announced within a reasonable period by notice or in-site message; continued use constitutes acceptance. You may stop using the Services if you disagree; the platform bears no liability for service or term changes.

8.2 Termination and cancellation

Users may apply to cancel accounts at any time; MatwingsVenus® may retain necessary records for a reasonable period to meet legal duties or resolve open matters. On material breach, MatwingsVenus® may unilaterally terminate services, close accounts, and delete related data.

8.3 Data retention and deletion

MatwingsVenus® retains necessary data per legal requirements, regulatory orders, platform security, and business needs, and deletes or anonymizes it when no longer needed, without further user consent.

Governing law and dispute resolution

9.1 Governing law

The conclusion, effect, interpretation, and dispute resolution of these Terms are governed by the laws of the People's Republic of China, except where mandatory provisions provide otherwise.

9.2 Dispute resolution

Disputes arising from these Terms or the Services should first be resolved amicably; failing that, either party may sue before a competent people's court.

Minors and other terms

10.1 Use by minors

Users under the legal age (eighteen) must use the Services under guardian supervision; guardians must ensure compliance with laws and this Agreement, and bear full responsibility for disputes or losses arising from minors' use.

10.2 Assignment

MatwingsVenus® may assign its rights or obligations, in whole or in part, to affiliates or successors without reducing users' existing rights; users consent to such assignment.

10.3 Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in force.

11.2 Effectiveness and updates

These Terms take effect when you register, sign in, or otherwise use the Services. MatwingsVenus® updates them from time to time per business and legal needs; continued use after a change means you have read, understood, and accepted the revised content and will follow it.

These Terms are copyrighted by the MatwingsVenus® platform. Without written permission, no unit or individual may copy, modify, disseminate, or otherwise use all or part of them.
